- Name of the Society. The name of the Society is “Centre for Joint Warfare Studies” hereinafter referred to as CENJOWS, which is a non-government organisation.
- Area of Operation. N.C.T of Delhi.
- Registered Office. The Registered office of the Society shall be situated in Delhi State, at Centre government Offices (CGO) Complex, 301/ B-2 Wing, Antyodaya Bhawan, Lodhi Road, New Delhi- 110011.
- Aim. To be the premier think tank promoting jointness, integration and transformation in Indian Armed Forces.
- Objective. To promote Jointness as a synergistic enabler for the growth of Comprehensive National Power and provide alternatives in all dimensions of its applications through focused research and debate for facilitating doctrinal and policy formulations by the concerned stakeholders.
- Charter.
6.1Accord priority to free dialogue and discussion on all issues with a bearing on joint warfare and on the formulation of independent policy options to decision makers, in the Government of India and the Defence Headquarters.
6.2 Endeavour to mould public opinion and influence the national security elite on issues where India’s national power is synergised.
6.3 Nurture and facilitate study, scholarship and discourse involving a broad spectrum of joint warfare issues keeping integration and ongoing transformation of the armed forces in focus.
6.4 Seek to engage foreign institutions, having common interests and commitments, in our immediate neighborhood, and undertake an exchange of ideas with a view to enhancing mutual understanding and cooperation in the joint warfare field.
6.5 Pursue agenda of transformation of Indian Armed Forces into technology savvy force by provide research-based inputs in the field of emerging technologies
6.6 Research other relevant issues/topic as required involving Indian Armed Forces which needs analysis for policy formulation in the Tri – services domain.
6.7 To claim accreditation as a think tank of Global Repute.
7. Work Areas.
7.1 Referral and Support think tank to MoD/HQ IDS and Nodal Agency for generation of ideas relating to all aspects of Joint Warfare.
7.2 Referral services on policy Issues to queries received from Ministry of Defence and its Departments, Services HQ and other Government Departments and Strategic Studies Organisations.
7.3 Contribute to enhancing awareness on Defence and security issues amongst Services officers. Provide niche area expertise to Services training institutions.
7.4 Harness domain knowledge and expertise of Veterans in various areas of interest.
7.5 Establish useful linkages with corresponding desks at other Security related think tanks.
7.6 Knowledge sharing through publications through access to the CENJOWS Website, Synergy, the half-yearly journal, Monographs, Issue Briefs and Occasional Papers, Anthologies and Books.
7.7 Carry out research in geo-strategic domain to provide inputs to service HQs/ HQ Integrated Defence Staff for assisting them in policy formulation on the subject.
8. Governing Body. The Board of Governors/Executive Council of the Society (CENJOWS) shall function as its “Governing Body”. Accordingly, the overall management of CENJOWS shall rest in the Board of Governors/Executive Council of the Society which shall be composed in their ex-officio capacity as under:

8.10 A copy of the Rules and Regulations of Society has been filed with the Registrar of Societies, Delhi along with the Memorandum of Association as required under Section 2 of the Act.

THE CENTRE FOR JOINT WARFARE STUDIES (CENJOWS)- RULES AND REGULATIONS
Name of the Society
- The name of the Society shall be the Centre for Joint Warfare Studies (CENJOWS) or SAMYUKTA YUDH PADDHATI ADHYAYAN KENDRA hereinafter referred to as “CENJOWS”.
Motto
- The motto of CENJOWS shall be: “VICTORY THROUGH JOINT KNOWLEDGE” ‘Victoria ex Commune Scientia’ (In Latin).
Registered Office
- The Registered Office of CENJOWS shall be located in the National Capital Territory of Delhi.
Definitions
- In the Rules and Regulations, unless the context otherwise requires the meaning of the following words/phrases will be as indicated:-

9. Emblem/Logo | The official logo of CENJOWS. |

11. Form | Membership Form, Nomination Form, Donor Form, or other forms prescribed by the Rules and Regulations of CENJOWS. |

13. Member | Life Member, Member, Corporate Member, Associate Member or Temporary Member, as defined in the Rules and Regulations of CENJOWS and a member of the Board of Governors/Executive Council. |

15. Prescribed | Prescribed under the by-laws made by the Board of Governors/Executive Council. |
16. Register | Register of Member/Sponsors and other registers maintain by CENJOWS. |
17. Autonomous | Able to govern itself or control its own affairs, without intervention and interference from any outside authority. |
- Membership. CENJOWS, will have the following categories of members:-
5.1 Life Members.
5.2 Ordinary Members.
5.3 Corporate Members.
5.4 Associate Members.
5.5 Temporary Members.
5.6 All classes of membership, except temporary membership, will be subject to the approval of the Board of Governors/Executive Council. The following are ordinarily eligible to become members of CENJOWS:-
5.6.1 All officers of the three Armed Forces, Ministry of Defence (MoD), Ministry of External Affairs (MEA) of other ministers whether serving or pensioners.
5.6.2 Research scholars desirous of pursuing research and study under the patronage of CENJOWS.
5.6.3 Members of other “think tanks” and institutions pursuing similar objectives/ studies, on a reciprocal basis.
5.6.4 Life Members. Persons entitled membership may become life members on payment of subscription laid in this behalf down from time to time by the board of Governors/Executive Council.
5.6.5 Ordinary Members. Persons entitled to membership may become ordinary members for duration of one year on payment of subscription laid down in this behalf from time to time by the Board of Governors/Executive Council. The duration will be for the period 01 Apr to 31 Mar of next year.
5.6.6 Corporate Members. Representatives’ members nominated by name, and accepted by the Board of Governors/Executive Council, may be admitted from any organisation, institution, or diplomatic mission based in India, making a corporate subscription on terms and conditions laid down by the Board of Governors/Executive Council from time-to-time Representatives members shall have the same rights and privileges as ordinary members.
5.6.7 Associate Members. Vice Chancellor of universities and Head of Departments of Defence Studies, military correspondents of Indian newspapers, magazines and news agencies, distinguishes persons associated with the field of national security and related fields, research fellows, and media persons, may be enrolled as Associate members at rates and subscriptions approved by the Board of Governors from time to time. They shall have the same rights and privileges as ordinary members; Associated Membership is to be annually renewed.
- Admission. Admission of members is entrusted to the Board of Governors/Executive Council who shall have absolute discretion regarding admission of members, as well as the manner in which selection is carried out.
- Expulsion of Members. If any member shall contravene these Rules on any by-laws, or so conduct himself/herself that in the opinion of the Board of Governors/Executive Council it is no longer desirable that he or she continues as a member, or is convicted by the criminal court, or is directly/indirectly involved in activities that are against the interest of CENJOWS, the Board of Governors shall have the power to terminate his or her membership after issue of a Show Cause Notice. A member dismissed from the services of the Armed Forces on any other Government Service shall no longer be eligible to membership of the CENJOWS. A member so expelled shall forfeit all claims on the institution.
- Suspension of Membership. Chairman of the Board of Governors/Executive Council shall have the power to suspend any person form the membership of CENJOWS on the ground of a misconduct or for the violation of any of the clauses of these Rules, on the by-laws framed thereunder, until final decision is taken by the Board of Governors/Executive Council on continuances of membership of such persons.
- Subscription. Subscription for all types of membership shall be as laid down by the board of Governors/Executive Council from time to time, and shall be payable on 01 April every year. Any increase of subscription in subsequent years shall be operative from 01 April of the year following the date of decision of the Governors.
- Resignation. A member may resign at any time during the year. However, subscription paid for the year will not be refunded.
- Cessation. Membership of CENJOWS shall stand cancelled on resignation, death, non-payment of dues such as membership subscription for three months continuously and on expulsion.
- General Body.
12.1 Patron. The Chairman Chiefs of Staff Committee, in his ex-officio capacity.
12.2 Vice Patron. Defence Secretary (Defence/Finance), in their ex-officio capacity.
12.3 Board of Governors cum Executive Council. The Board of Governors cum Executive Council shall consist of eight members including Chairman. The Chief of Integrated Staff (CISC) will be the chairman of the Board of Governors cum Executive Council. In addition to the above, four members will be nominated as ex-officio members of the Board of Governors/Executive Council for a period of one year from the day Society (CENJOWS) is registered.
12.4 Director Emeritus. A Director Emeritus shall be on Honorary post, who will be appointed/nominated to the Board of Governors/Executive Council. Pending appointment of a regular Director Emeritus, is appointed as the Director Emeritus of CENJOWS for two years.
12.5 Executive Director. An Executive Director shall be appointed by the Board of Governors/Executive Council. Pending appointment of a regular Executive Director, Vice Admiral Vineet McCarty, AVSM working as Assistant Chief of Integrated Staff (PP & FD), shall function as the Executive Director of the CENJOWS. The Executive Director CENJOWS will be an invitee to all the meetings of the Board of Governors cum Executive Council and also act as its secretary. In his day-to-day functioning, the director shall be directly reporting to and be responsible to be the chairman board of Governors cum Executive Council.
12.6 Administrative Officer/Assistant Director. To assist the Executive Director in the day-to-day administration and in managing the affairs of CENJOWS, an administrative Officer/Assistant Director may be appointed at the discretion of the chairman, Board of Governors/Executive Council of the CENJOWS.
- Powers and Duties.
13.1 Board of Governors/Executive Council. The Board of Governors/ Executive Council shall function as the governing body of CENJOWS and be responsible for the following in particular: –
13.1.1 All properties movable, immovable, or of any other kind shall stand vested in the Board of Governors/Executive Council.
13.1.2 The Business and affairs of CENJOWS shall be carried on and managed by the Board of Governors/Executive Council who shall exercise all powers and authority necessary or proper for the achievement or the furtherance of the objects of CENJOWS.
13.1.3 The Board of Governors/Executive Council shall have power to appoint, from time-to-time office bearers, officials, functionaries and committees and to assign and/ or delegate thereunder to such powers. Functions and duties as may be considered necessary and also to determine their tenure of appointment.
13.1.4 To sue and defend all legal proceedings on behalf of CENJOWS.
13.1.5 The Board of Governors/Executive Council alone shall have the power to make repeal, amend and modify bye-laws.
13.1.6 The Chairman, Board of Governors/Executive Council shall exercise overall control over the affairs of CENJOWS and shall give effect to the decisions of the Board, and in emergent cases, exercise all the powers vested in the Board of Governors/Executive Council as per the Rules and Regulation of CENJOWS and report the decisions taken at the succeeding meeting of the Board. He will also be the legal custodian of all the movable and immovable properties and permanent funds belonging to the Society (CENJOWS) and will administer the same in accordance with the decision of Board of Governors/Executive Council.
13.1.7 Approve long-term perspective plan for the development of CENJOWS, in terms of its scope of activities, infrastructure and resources.
13.1.8 Approve the award of research opportunities to scholars desirous of pursuing research under CENJOWS patronage.
13.1.9 Approve fixation of honorarium, salary, remunerations, stipend and wages of the staff, scholars and professionals, as projected by the Executive Council.
13.1.10 Approve other matters not specially provided above, as projected by the Board of Governors/Executive Council.
13.1.11 To decide the number ad type (designation) of staff to be appointed on contractual basis for the Society (CENJOWS).
13.2 Chairman Board of Governors/Executive Council. In addition to the powers and duties mentioned herein above, the Chairman, Board of Governors/Executive Council shall also be responsible for the following: –
13.2.1 Preside over the Board of Governors/Executive Council meeting.
13.2.2 To sign jointly with the Executive Director CENJOWS, or one or more members of the Board of Governors on contracts, legal documents relating to civil suits and other deeds requiring signature on behalf of CENJOWS.
13.2.3 He will also be the legal custodian of all the movable and immovable properties and permanent funds belonging to the Institute and will administer the same in accordance with decision of the Council.
13.3 Director Emeritus. He Shall: –
13.3.1 Advise the Board of Governors/Executive Council on the road map for achievement of the objectives by the CENJOWS and be a guiding light on the conceptual matters concerning the CENJOWS.
13.3.2 Attend all the meetings of the Advisory Board and participate on the discussions.
13.4 Executive Director. He shall: –
13.4.1 Act as secretary to all the meetings of the Board of Governors/Executive Council as well as the Advisory Board. He shall prepare and circulate the agenda of such meetings to all concerned.
13.4.2 Run and manage the CENJOWS on day-to-day basis and function as Chief of Staff of CENJOWS.
13.4.3 Convene meetings of Board of Governors on behalf of the Chairman.
13.4.4 Record or cause to be recorded minutes of meetings of the Board of Governors/Executive Council and the advisory Board.
13.4.5 Ensure proper record of all decisions taken at the meeting of the board of Governors/Executive Council and Advisory Board.
13.4.6 Advice the Chairman on all matters of administration and policy of CENJOWS and implement his decision/directions/orders.
13.4.7 Sign jointly with the Chairman of the Board of Governor/Executive Director or other members, on contracts, legal documents regarding civil suits and other deeds pertaining to CENJOWS.
13.5 Administrative Officers/Assistant Director. To assist the Executive Director in the day-to-day administration and management of the CENJOWS.
13.6 Advisory Board. The Society (CENJOWS) shall have an ‘Advisory Board’ comprising of at least five members as nominated by the Board of Governors cum Executive Council from time to time. Each member of Advisory Board shall be nominated for a period of one year, which may be extended from time to time by the Board of Governors-cum Executive Council. An Advisory Board member may be removed from the Board by the Board of Governors/Executive Council at any time with one month notice.The Advisory Board shall meet twice a year on the date so notified by the Director CENJOWS, who shall also act as Secretary for such meetings. The agenda for the Advisory Board meeting shall be set by the Board of Governors/Executive Council.
- Meetings. Board of Governors cum Executive Council shall meet minimum twice a year. A minimum of three days’ notice shall be required for Board of Governors cum Executive Council meeting. Urgent meetings can be convened at 24 hours’ notice. The chairman shall have a casting vote on all decisions to be taken by the Board of Governors/Executive Council.
- Quorum for the Meetings. Quorum of every Board of Governors/Executive Council meeting shall be half of the total strength of the body. The quorum of Advisory Board meetings shall be two third of its total strength.
- Sources of Income. Sources of income of CENJOWS are as under: –
16.1 Grants received from the Government of India, Ministry of Defence and any other ministry of the Government, as well as state Governments.
16.2 Grants from Integrated Headquarters, Army Headquarters, Naval Headquarters or Air Headquarters.
16.3 Grants received for organising seminars and lectures or funds for specific projects/ studies.
16.4 Donations/ grants from other institutions, Foundations and NGOs.
16.5 Money received from sale proceeds of CENJOWS publications and royalty thereof.
16.6 Subscription from the members of CENJOWS.
16.7 Interest/ dividend accrued on the corpus and other invested funds of the CENJOWS.
- Audit. The accounts of CENJOWS shall be audited by a qualified auditor (Chartered Accountant) every year.
- Operating of Bank Account. Bank Accounts of CENJOWS shall be operated under Joint Signatures of the Chairman & Executive Director of the Board of Governors/Executive Council of the CENJOWS.
- Annual List of Governing Body and the Advisory Board. Once every year, a list of the Members of Board of Governors/Executive Council, Advisory Board and the office bearers of CENJOWS shall be filed in the office of the Registrar of Societies, New Delhi, as required under Section 4 of the Societies Registration Act, 1960.
- Legal Proceedings. CENJOWS may sue and/or be sued as a non-government organisation in the name of Chairman/ Secretary, Board of Governors/ Executive Council, as per provisions laid down under Section of the Societies Registration Act, 1860, as applicable to the National Capital Territory of Delhi.
- Amendment. Any amendment in the Memorandum of Association, Rules and Regulations will be carried out in accordance with Sections 12 and 12A of the Societies Registration Act 1860, as applicable to the National Capital Territory of Delhi.
- Dissolution. In case CENJOWS needs to be dissolved, it shall dissolve as per provisions laid down under Sections 13 and 14 of the Societies Registration Act, 1860, as applicable to national Capital Territory of Delhi. Upon dissolution of CENJOWS, the Board of Governors/Executive Council shall take all necessary steps for the disposal and settlement of property of the CENJOWS, its claims and liabilities, according to these rules and regulations as may be applicable, if any, and if not, then as the Board of Governors shall find expedient. If any property is left after the satisfaction of all debts and liabilities, of CENJOWS, the same shall be handed over to the Adjutant General’s Branch, Army Headquarters or its nominee.
- Application of the Act. All the provisions under the Sections the Societies Registration Act 1860″, as applicable to the National Capital Territory of Delhi, shall be applicable to this Society.
- Essential Certificate. CERTIFIED THAT THIS IS THE CORRECT COPY OF THE RULES AND REGULATIONS OF THE SOCIETY.
